Legal Counsel

TWINO is looking for a Legal Counsel to join our team and help build, evolve systems that power real investment products used by customers in Europe.
What we are looking for
- At least 3 years of work experience, preferably in financial services practice or legal function of an investment firm, bank, or related regulated financial institution
- Degree in Law or in the final stages of obtaining it
- Strong desire to practice in the field of financial law and ability to work in a fast-paced business environment
- Knowledge of financial and investment services regulatory framework in the EU and/or knowledge and experience related to GDPR will be considered as an advantage
- Strong interpersonal skills, ability to build trusting working relationships while maintaining independence
- Excellent command of Latvian and English, including legal writing. Other language skills will be considered an advantage
- Ability to prioritize and take full ownership of various initiatives and legal projects
Your responsibilities
- Consult and handle various corporate legal processes such as preparing and developing corporate procedures and policies, restructuring, joint ventures, equity financing, commercial contracts, etc.
- Ensure compliance with the legal and regulatory aspects of financial instruments and their offering on the TWINO platform
- Prepare investment product-related documentation, including prospectuses, key information documents, agreements with issuers, etc.
- Give legal advice and do research in the field of investment products and services (e.g., MiFID II, MiFIR, PRIIPs, MAR, Prospectus Regulation)
- Draft legal documentation and content-related texts (e.g., standard agreements, custom agreements, disclaimers, warnings, etc.)
- Assist with the structuring of complicated financing models and ensure innovative solutions comply with all relevant laws
